The Group Corporate Governance Office supports the Management Board and the Supervisory Board of Erste Group Bank AG and Erste Bank der oesterreichischen Sparkassen AG in complying with and monitoring laws and regulations related to good corporate governance. In addition, the Group Corporate Governance Office organizes and manages the meetings of the Management Board and the Supervisory Board. Acting as an interface between the Management Board, the Supervisory Board and shareholders, the Group Corporate Governance Office plays a key role within the organizational structure of Erste Group Bank AG and Erste Bank der oesterreichischen Sparkassen AG. In this role you will independently manage and further develop the Group Fit & Proper Office, ensuring end-to-end regulatory compliance for members of the Management Board and Supervisory Board, including suitability assessments, regulatory applications, governance data and Corporate Governance reporting, while closely cooperating with internal and external stakeholders and ensuring the validity and roll-out of internal policies across the Group. Key Responsibilities * Fit & Proper Office and Regulatory Compliance: Establish, further develop and operate a state of the art Fit & Proper Office (both content wise and digitally), and independently manage and execute all Fit & Proper related processes for members of the Management Board and Supervisory Board. This includes the end to end preparation, coordination and submission of applications for current and potential future board members, as well as the ongoing performance of all related duties, including but not limited to mandate counting, monitoring and documentation of conflicts of interest, suitability assessments and continuous compliance with regulatory requirements. * Governance Data, Monitoring and Reporting: Supervise, maintain and continuously update governance relevant records and key data, including conflicts of interest, mandate registers, gender ratios and annual FINREP related interrogations, ensuring full compliance with regulatory and internal requirements for members of the Management Board and Supervisory Board. * Corporate Governance Reporting: Assume full, independent and end to end responsibility for the preparation and drafting of the annual Corporate Governance Report, including the provision and delivery of key governance data and inputs for the Annual Report * Stakeholder Cooperation: Cooperate closely with relevant internal and external stakeholders, in particular on Corporate Governance and Fit & Proper related matters * Policy Management: Support the supervision, review and update of internal governance related policies (e.g. Suitability Policy), coordinate the roll out of revised policies in line with the Policy Framework, and support the implementation of policies across subsidiaries * Corporate Body Meetings Management documentation: Attend meetings of the Management Board, Supervisory Board and their committees, and independently prepare, draft and review reports, minutes and transcripts * Management Applications and Ad hoc Support: Independently draft and review Management Board and Supervisory Board applications, and provide ad hoc organizational, governance related and legal support to the Management and Supervisory Boards as required Requirements * University degree in legal and/or economic studies * First experience in company law, banking, finance, or similar fields, preferably with initial experience in the financial sector * Basic knowledge of corporate, banking and stock exchange law * Initial experience with Fit & Proper, suitability and/or remuneration topics, including remuneration guidelines, is considered an advantage * Strong organizational and project management skills * Digital literacy * Analytical and conceptual skills: You understand complex interrelationships and are able to structure content clearly and logically. You always keep an eye on time management and independently prioritize your tasks * Discretion and accuracy: You work with the highest level of confidentiality and precision, ensuring that sensitive information is handled with care and that tasks are carried out reliably and with great attention to detail * Language skills: You are fluent in German and English Our Offer * Discover and enjoy the benefits of Erste Group * The minimum wage for this full-time position in accordance with the collective agreement with complete fulfillment of the functional profile is EUR 44.860,76 gross per year.
