Greenpeace Australia Pacific Limited (GPAP) is seeking up to 3 new directors for appointment at its 2022 AGM.
GPAP's Board upholds GPAP's values, mission and purpose as it works to project a vision of an earth capable of nurturing life in all its diversity and to challenge the vested interests of the fossil fuel order that stand in the way.

GPAP’s values are:

* Non-violent direct action: We believe violence is morally wrong and unnecessary; Greenpeace engages in non-violent direct action at environmental crimes to expose issues.
GPAP is a charity registered with the Australian Charities and Not-for-profits Commission (ACNC). GPAP has an annual turnover of approximately $18.5 million (YE 2020). Our annual financial reports are available on the ACNC website.
About the Position
The GPAP Board is the guarantor of the organisation’s integrity. Directors are appointed for a 3-year term, with an option to re-appoint for a second 3-year term.
Key responsibilities include:
* Ensure GPAP’s mission is clear, relevant, and maintained as times change;
* Provide guidance for setting GPAP’s direction;
* Monitor GPAP’s programmes and activities to ensure alignment with mission and goals;
* Oversee executive performance by setting objectives and performance indicators for the CEO and reviewing performance;
* Ensure resources are obtained and used effectively to carry out GPAP’s mission;
* Ensure the adequacy and integrity of financial and other reporting and internal controls;
* Ensure robust risk identification and management systems;
* Comply with the ACNC Governance Standards.
Directors must uphold fiduciary duties, act in good faith, avoid conflicts of interest, and exercise due care and skill.
GPAP Board Meeting Cadence
The GPAP Board meets at least six (6) times per year. Meetings have been primarily virtual in recent years, with a hybrid virtual/in-person approach anticipated. The cadence includes a formal evening Board dinner the night before a full-day meeting.
Board committees
There are four Board committees, including:
* Finance and Audit Committee
* Governance Committee
* Nominations Committee
* Philanthropy Taskforce
Board members are expected to be a member of at least one committee.
General Assembly
Every GPAP Board member is required to be a member of the GPAP General Assembly (GA), which comprises the GPAP membership. The GA meets once per year.
About you
GPAP seeks Board candidates who, among other things, can:
* Fully commit to our mission, goals and values;
* Demonstrate leadership;
* Work collaboratively and cooperatively;
* Speak up and ask hard questions.
Preferred candidates may have expertise in one or more of the following areas. It is not required to have all attributes since multiple directors are being recruited. You will indicate your primary and secondary skills on application:
* Corporate governance in the not-for-profit sector
* Environmental (or other) campaigning
* Fundraising
* Finance and financial management
* Understanding of First Nations cultural, political, economic and social contexts
* Research and/or scientific literacy
Applicants should have sufficient time to commit to GPAP Board work (approximately 15 to 20 hours per month).
